DigitalGlobe Announces Senior Notes Offering
LONGMONT, CO -- (Marketwire) -- 01/22/13 -- DigitalGlobe, Inc. (NYSE: DGI), a leading global provider of high-resolution earth imagery solutions, today announced that it plans to offer, subject to market and other conditions, $500 million aggregate principal amount of senior unsecured notes (the "Notes").
DigitalGlobe intends to use the proceeds from the offering of the Notes, together with borrowings under its new credit facilities and cash on hand, to (i) pay the cash consideration under the merger agreement in respect of DigitalGlobe's proposed combination with GeoEye, Inc.; (ii) refinance indebtedness outstanding under DigitalGlobe's existing credit facility; (iii) fund the discharge and redemption of all of GeoEye's outstanding 9.625% Senior Secured Notes due 2015 and 8.625% Senior Secured Notes due 2016; and (iv) pay fees and expenses related to the aforementioned transactions. The foregoing does not constitute a notice of redemption for any of GeoEye's outstanding notes.
The Notes will not be registered under the Securities Act of 1933, as amended (the "Securities Act"), or any state securities law and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and applicable state securities laws. The Notes will be offered in the United States only to qualified institutional buyers under Rule 144A of the Securities Act and outside the United States under Regulation S of the Securities Act.
