JMP Group Prices Public Offering of $40 Million of Senior Notes Due 2023

SAN FRANCISCO--(BUSINESS WIRE)-- JMP Group Inc. (NYSE: JMP), an investment banking and alternative asset management firm, announced today that it has priced an underwritten public offering of $40.0 million aggregate principal amount of 8.00% senior notes.

Net proceeds to the company after discounts and commissions but before expenses are approximately $38.7 million and are intended to be used for general corporate purposes.


The notes will mature on January 15, 2023, and may be redeemed in whole or in part at any time or from time to time at the company's option on or after January 15, 2016, at a redemption price equal to the principal amount redeemed plus accrued and unpaid interest. The notes will bear interest at a rate of 8.00% per year, payable quarterly on January 15, April 15, July 15 and October 15 of each year, beginning on April 15, 2013.

UBS Securities LLC, Stifel, Nicolaus & Company, Incorporated and JMP Securities LLC are acting as joint book-running managers, and Sterne, Agee & Leach, Inc., Keefe, Bruyette & Woods, Inc. and MLV & Co. LLC are acting as co-managers of the offering. The offering is expected to close on January 25, 2013, subject to customary closing conditions. JMP Group has granted the underwriters an option to purchase an additional $6.0 million aggregate principal amount of notes to cover over-allotments, if any.
