Under the terms of the proposal, public shareholders of Jefferies will receive 0.81 shares of Leucadia common stock for each share of Jefferies they own. Based upon Leucadia's closing stock price of $21.80 on November 9, 2012, Jefferies shareholders would have received consideration valued at approximately $17.66 per share.
The investigation concerns whether Jefferies' board of directors failed to adequately shop the Company and obtain the best possible value for Jefferies' shareholders before entering into an agreement with Leucadia. According to Yahoo! Finance, at least one analyst has set a price target for Jefferies stock at $19.00 per share.
